These terms govern your use of this website. They are not the licence agreement for any Midnight Apps application. Each application is governed by its own end user licence agreement and terms, presented with that application.
1. Who you are agreeing with
This website is operated by Midnight Holdings LLC, a United States limited liability company, which conducts its mobile application business under the brand name Midnight Apps. In these terms, "we", "us", and "our" mean Midnight Holdings LLC, and "you" means the person using this site.
2. Acceptance of these terms
By accessing or using midnightapps.dev, you agree to these terms of use. If you do not agree with them, please do not use the site. We ask nothing else of you — there is no account to create and no box to tick.
3. What this website is for
This site exists to describe Midnight Apps and Midnight Holdings LLC, to publish our legal documents, and to tell you how to reach us. It is informational. It does not sell anything, accept payment, take orders, host user accounts, or provide any interactive service.
4. Applications are governed separately
Nothing on this site is the agreement covering a Midnight Apps application. When you download or use one of our applications, your use of it is governed by the end user licence agreement and terms presented for that application, together with the terms of the store you obtained it from — the Apple App Store or Google Play. Where those application terms conflict with this page, the application terms control for that application.
5. Permitted use
You may read, print, and share the pages of this site for your own personal, informational, or business-evaluation purposes, including quoting short extracts with attribution to Midnight Apps or Midnight Holdings LLC. You may link to any page here without asking us first.
6. Things you may not do
You agree not to:
- use the site for any unlawful purpose, or in a way that infringes anyone's rights;
- attempt to gain unauthorised access to the site, its hosting infrastructure, or any related system;
- interfere with or disrupt the site, including by flooding it with automated requests;
- copy the site's design, code, or text in order to present it as your own, or to impersonate Midnight Apps or Midnight Holdings LLC;
- use our name, wordmark, or logo in a way that suggests an endorsement, affiliation, or partnership that does not exist;
- misrepresent the status of any product described here — for example by presenting an application listed as in development as though it were available for download.
7. Intellectual property and trademarks
The content of this site — its text, layout, stylesheets, code, the Midnight Apps wordmark, and the crescent mark — is owned by Midnight Holdings LLC and is protected by copyright and other intellectual property laws. "Midnight Apps" and "Midnight Holdings LLC" are names we use in commerce, and the rights in them belong to us. Except for the permitted use described above, no licence to them is granted by your use of this site.
Apple, App Store, iOS, Google, Google Play, and Android are trademarks of their respective owners. We refer to them only to describe the platforms our applications are built for. Nothing on this site implies that Apple, Google, or any other company endorses, sponsors, or is affiliated with Midnight Apps.
8. No professional advice
Information on this site is general and provided for description only. It is not medical, legal, financial, or other professional advice, and you should not act on it as though it were. In particular, any description of a health or wellness application on this site describes what software does; it does not diagnose, treat, or make recommendations about anyone's health. Always speak to a qualified professional about your own situation.
If you have a medical emergency, contact your local emergency number or go to the nearest emergency department. Do not use this website or any of our applications for emergencies.
9. Products described as in development
Some products on this site are described as being in development. Those descriptions reflect our plans at the time of writing and are not promises. We may change a product's features, name, pricing, platform, or release timing, or decide not to release it at all. Nothing on this site is an offer to sell, a commitment to deliver, or a guarantee that any product will become available.
10. Third-party links and services
This site links to pages we do not control, such as documentation published by GitHub, Apple, or Google. We provide those links for convenience and take no responsibility for the content, accuracy, or practices of any site we link to. Visiting a linked site is at your own risk and subject to that site's terms.
11. Availability of the site
We publish this site as a static website through a third-party hosting service. We do not guarantee that it will be available without interruption or free from error, and we may change, suspend, or withdraw any part of it at any time without notice.
12. Disclaimer of warranties
To the fullest extent permitted by law, this website and its content are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory. We specifically disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the site will be uninterrupted, secure, error-free, or free of harmful components. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
13. Limitation of liability
To the fullest extent permitted by law, Midnight Holdings LLC and the people who work with it will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or business opportunity, arising out of or relating to your use of — or inability to use — this website, even if we have been advised that such damages are possible.
To the extent any liability cannot be excluded, our total aggregate liability arising out of or relating to this website is limited to one hundred United States dollars (US$100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so parts of this section may not apply to you. Nothing in these terms excludes liability that cannot lawfully be excluded.
14. Indemnity
You agree to indemnify and hold harmless Midnight Holdings LLC from any claim, demand, loss, or expense — including reasonable legal fees — arising from your misuse of this website or your breach of these terms.
15. Changes to these terms
We may update these terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Changes take effect when they are published here, and your continued use of the site after that means you accept the revised terms. If you do not accept them, stop using the site.
16. Governing law
These terms and any dispute arising out of them or out of your use of this website are governed by the laws of the United States and of the state in which Midnight Holdings LLC is organised, without regard to conflict-of-law rules. You agree that the courts located in that state have exclusive jurisdiction over any such dispute, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.
Before starting any formal proceeding, please write to legal@midnightapps.dev and describe the problem. Most matters can be resolved by email far faster than by anything else.
17. General provisions
- Severability — if any provision of these terms is held unenforceable, the rest remains in force and the unenforceable provision is applied to the maximum extent permitted.
- No waiver — if we do not enforce a provision on one occasion, we have not waived our right to enforce it later.
- Entire agreement — together with our privacy policy, these terms are the whole agreement between you and us regarding this website.
- Assignment — you may not transfer your rights under these terms; we may assign ours to a successor of the business.
- Headings — section titles are for convenience and do not affect interpretation.
